Terms of Service

These Terms govern your use of the Ducia HR platform and related services offered by Ducia HR ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
“Service” means the Ducia HR web application, APIs, integrations, documentation, and support channels we make available.
“Customer” means the organization (for example, your employer) that subscribed to or otherwise authorized use of Ducia HR for its workforce.
“User” means anyone who accesses the Service, including administrators, HR staff, managers, and employees.
“Customer Data” means information submitted to or generated through the Service on behalf of a Customer, including HR records, performance data, and communications.
2. Eligibility and accounts
You must be authorized by a Customer to use the Service (for example, via invitation, employment, or admin provisioning). You are responsible for safeguarding your credentials and for activity under your account. Notify your administrator and us promptly if you suspect unauthorized access.
You must provide accurate information required for account setup and compliance features (such as attendance or approvals). You may not impersonate others or create accounts without permission.
3. Acceptable use
You agree not to misuse the Service. Without limitation, you must not:
- Violate applicable law or infringe others' rights
- Attempt to probe, scan, or test the vulnerability of the Service without written authorization
- Interfere with or disrupt the Service, networks, or security controls
- Use the Service to distribute malware, spam, or unlawful content
- Reverse engineer, decompile, or attempt to extract source code except where law prohibits this restriction
- Access or export Customer Data you are not permitted to view under the Customer's policies and roles
- Use automated means to scrape or bulk-harvest the Service in a way that impairs operations
4. AI-assisted features
Parts of the Service may use artificial intelligence to generate summaries, insights, or draft content. AI outputs may be incomplete or incorrect. Customers and Users remain responsible for reviewing outputs, exercising professional judgment, and complying with employment, privacy, and sector-specific obligations.
5. Customer Data and privacy
The Customer controls Customer Data and how it is processed for workforce purposes. Our collection and use of personal information are described in our Privacy Policy. Where the Customer's instructions or a separate agreement conflict with these Terms for enterprise use, the agreement with the Customer governs to the extent permitted by law.
6. Third-party services
The Service may integrate with third parties (for example, identity providers, cloud infrastructure, email, or calendar). Those services are subject to their own terms and policies. We are not responsible for third-party services outside our reasonable control.
7. Intellectual property
We and our licensors own the Service, including software, branding, and documentation. Subject to these Terms and the Customer's rights, we grant Users a limited, non-exclusive, non-transferable right to access and use the Service as authorized. No other rights are granted by implication.
The Customer retains its rights in Customer Data. You grant us a license to host, process, transmit, and display Customer Data as needed to provide and improve the Service, secure accounts, and comply with law.
8. Suspension and termination
We may suspend or terminate access if we reasonably believe there is a security risk, violation of these Terms, or legal requirement. The Customer may revoke your access at any time. Provisions that by their nature should survive will survive termination (for example, disclaimers, limitations, and governing law).
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DUCA HR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100), IF NO FEES APPLIED TO YOU DIRECTLY.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
11. Indemnity
To the extent permitted by law, you will indemnify and hold harmless Ducia HR from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or violation of others' rights, except to the extent caused by our gross negligence or willful misconduct.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law rules that would require application of another jurisdiction's laws, except where mandatory consumer or employment protections apply to you personally and cannot be waived.
Courts in Accra, Ghana, shall have non-exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory venue rules that apply to you.
13. Changes
We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last Updated" date. Material changes may be communicated through the Service or by email where appropriate. Continued use after changes become effective constitutes acceptance of the revised Terms.
